II.1.5) Short Description of the contract or purchase(s) "Section 30 of the Railways Act 1993 places a duty on the Secretary of State to provide or secure the provision of services for the carriage of passengers by rail, where a franchise agreement in respect of the services is terminated but no further franchise agreement has been entered into in respect of the services. In the event that the DfT has to take over the management of rail services in respect of a Train Operating Company (TOC) or TOCs it is important to ensure services are maintained." When acting as Operator of Last Resort in respect of any particular failed franchise it will be necessary for the DfT to rely upon bought in specialist advice from the contractor as part of the contract that it is seeking to put in place following this tendering exercise. Provision of this specialist consultancy support advice to DfT will include, but not be limited to: Advice including management of transition i.e. ensuring continuity of train services, business planning, stakeholder management, project management services including, but not limited to, risk, financial and budgetary advice. This will include providing experienced management resources to take over the running of the TOC if required. II.2.1) Total quantity or scope (including all lots and options, if applicable) Due to the uncertainty of Operator of Last Resort (OoLR) plans being activated (i.e.whether any TOCs,and, if so, how many, would require the DfT to step in to maintain services), it is difficult to estimate a total figure should the Department require support. The duration of the contract will be for a period of 5 years. It is anticipated that the Department will spend between 50,000 GBP and 18,000,000 GBP over the five years of the contract depending on whether the contracted supplier is called upon for operational reasons to step in and perform their duties under OoLR.

III.2) CONDITIONS FOR PARTICIPATION
III.2.1) Personal situation of economic operators, including requirements relating to enrolment on professional or trade registers
Any supplier may be disqualified who:

(a) is bankrupt or is being wound up, where his affairs are being administered by the court, where he has entered into an arrangement with creditors, where he has suspended business activities or is in any analogous situation arising from a similar procedure under national laws and regulations;
(b) is the subject of proceedings for a declaration of bankruptcy, for an order for compulsory winding up or administration by the court or of an arrangement with creditors or of any other similar proceedings under national laws and regulations;
(c) has been convicted by a judgment which has the force of res judicata in accordance with the legal provisions of the country of any offence concerning his professional conduct;
(d) has been guilty of grave professional misconduct proven by any means which the contracting authorities can demonstrate;
(e) has not fulfilled obligations relating to the payment of social security contributions in accordance with the legal provisions of the country in which he is established or with those of the country of the contracting authority;
(f) has not fulfilled obligations relating to the payment of taxes in accordance with the legal provisions of the country in which he is established or with those of the country of the contracting authority;
(g) is guilty of serious misrepresentation in supplying the information required under this Section or has not supplied such information;
(h) has been the subject of a conviction for participation in a criminal organisation, as defined in Article 2(1) of Council Joint Action 98/733/JHA;
(i) has been the subject of a conviction for corruption, as defined in Article 3 of the Council Act of 26 May 1972 and Article 3(1) of Council Joint Action 98/742/JHA3 respectively;
(j) has been the subject of a conviction for fraud within the meaning of Article 1 of the Convention relating to the protection of the financial interests of the European Communities;
(k) has been the subject of a conviction for money laundering, as defined in Article 1 of Council Directive 91/308/EEC of 10 June 1991 on prevention of the use of the financial system for the purpose of money laundering.

Subject to this, applicants for the appointment will be required to demonstrate clearly their depth of resource and level of skills and experience of technical, commercial and programme assurance on major rail projects, project management, stakeholder management, business planning, risk management, financial and budgetary management skills. Commercial management, cost control and estimating; - Assessment of change and risk and value management; - Railway rolling stock and depot specification and procurement; - Stakeholder interface management; - Programming, monitoring and reporting; - Establishing effective working relationships with stakeholders over the life of the project; and - Advice on and audit of health and safety, quality and environmental issues.

Precise information on deadline(s) for lodging appeals: The Department for Transport will incorporate a minimum 10 calendar day standstill period at the point information on the award of the contract is communicated to tenderers. This period allows unsuccessful tenderers to seek further debriefing from the contracting authority before the contract is entered into. Applicants have 2 working days from the notification of the award decision to request additional debriefing and that information has to be provided a minimum of 3 working days before the expiry of the standstill period. In the first instance such additional information should be required from the address provided in part 1.1. Following that, if the parties still cannot resolve the matter then it should be escalated to the Deputy Director of Procurement, Great Minster House, 76 Marsham Street, London SW1P 4DR Tel. 020 7944 3045. If an appeal regarding the award of a contract has not been successfully resolved the Public Contracts Regulations 2006 (SI 2006 No 5) provide for aggrieved parties who have been harmed or are at risk of harm by a breach of the rules to take action in the High Court (England, Wales and Northern Ireland). Any such action must be brought promptly (generally within 3 months). Where a contract has not been entered into the Court may order the setting aside of the award decision or order the authority to amend any document and may award damages. If the contract has been entered into the Court may only award damages.
